Who these terms are between

These terms are an agreement between the business that opens a Chirpoo workspace ("you") and Surya Narayana Enterprises LLP ("we", "us"), a limited liability partnership registered in India. Registered address: F.No.5301, Tower 5, Prestige High Field, Gachibowli, Hyderabad 500032, Telangana, India. Chirpoo is made by WhaBuzz, a service of the LLP.

By signing in or using Chirpoo you agree to these terms. The person who accepts them confirms they are 18 or over and can bind the business.

What Chirpoo is

Chirpoo is a hosted shared WhatsApp inbox with automations, broadcasts, templates and an AI agent. It sends and receives your WhatsApp messages through the official WhatsApp Business Platform (Cloud API) by way of the WhaBuzz gateway. Your WhatsApp number and WhatsApp Business Account stay yours.

Trial, plans and billing

  • Trial: 14 days with every feature, no card needed.
  • Plans: Chirpoo is ₹999 a month and Chirpoo Commerce is ₹1,499 a month. Each includes one WhatsApp number and 5 team logins. An extra number or login is ₹250 a month. Prices exclude 18% GST, which is added on the invoice.
  • Billing: plans are monthly and billed in rupees by invoice payment link. There is no automatic debit. If an invoice is not paid by its due date, we may limit or suspend the workspace after notice.
  • Cancelling: you can cancel at any time and the plan runs to the end of the period you have paid for. We do not refund part of a month already started, unless the law says otherwise.
  • Meta's charges: Meta charges for some WhatsApp messages. You pay Meta directly. Chirpoo adds nothing per message and does not bill you for messages.
  • Price changes: we will give workspace owners at least 30 days' notice by email before a price change applies to them.

What you agree to

  • Follow the law, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, and WhatsApp's Business Terms of Service and Business Messaging Policy.
  • Get every permission you need before you message a customer, and honour opt-outs. Do not send spam or unlawful content.
  • Keep your team's sign-ins and any API keys private. You are responsible for what happens under your workspace.
  • Switch on the AI agent only if you are comfortable with it answering your customers. You remain responsible for messages sent from your number, including those the AI agent writes.

Your data

You own your contacts, chats and content. We handle your customers' data only to run Chirpoo for you, as described in our privacy policy. Your contacts and chats stay readable through the Chirpoo API until you close the workspace, and you can ask for a full export.

Meta, WhatsApp and Shopify

Meta sets message pricing, template approval, quality ratings and messaging limits, and may restrict a number at any time. Shopify features work only while your store stays connected and Shopify's terms allow it. We are not responsible for decisions by Meta or Shopify.

What we promise, and what we do not

We will run Chirpoo with reasonable care and skill. Beyond that, Chirpoo is provided "as is" and "as available". Message delivery depends on Meta and on your customers' phones and networks, so we cannot guarantee that every message arrives. AI output can be wrong; check it before relying on it.

Suspension and ending

We may suspend a workspace or number without notice if its use puts Chirpoo, other customers or our standing with Meta at risk, or if Meta asks us to. Either side may end this agreement by giving the other 30 days' notice, or at once if the other commits a serious breach that is not fixed within 15 days of notice. After a workspace is closed we delete its data within 30 days, except records the law requires us to keep.

Limits on liability

We are not liable for indirect or consequential loss, or for lost profit, revenue or data. Our total liability for any claim will not exceed the fees you paid for Chirpoo in the 12 months before the event that gave rise to it. You will cover claims and penalties that arise from your breach of the law or of WhatsApp's policies.

Intellectual property

We and our licensors own Chirpoo and its software. The open-source WhaLeads code is licensed under its own licence, Apache-2.0. You keep all rights in your own content.

Law and disputes

These terms are governed by the laws of India. The courts in Hyderabad, Telangana have exclusive jurisdiction. Before going to court, both sides will try in good faith to settle a dispute for at least 30 days.

General

These terms and the privacy policy are the whole agreement. If a part is unenforceable, the rest stays in force. Not enforcing a right is not giving it up. You may not transfer your rights without our written consent. We will post changes here and email workspace owners about material changes at least 30 days before they apply.
